Learning outcomes

Upon completion of this unit, students will be able to:

1. demonstrate an advanced and coherent understanding of the nature and scope of the law of commercial associations as it relates to the law of entities and business structures, but focussing primarily on companies, the duties of directors and other officers of the company, members rights, company financing and financial reporting, securities control and takeovers and winding up;
2. use creativity, initiative and professional judgement to critically discuss the effectiveness or otherwise of the current regulation of commercial associations to deal with major problems in corporate law and those of partnership and agency law;
3. identify and critically analyse, synthesise, and consolidate a persuasive and coherent legal argument that applies principles of the law of commercial associations, especially corporate governance rules, to complex fact situations and identify remedies available for their enforcement; and also develop and present skilled analysis of the advantages and disadvantages of business structure choices;
4. demonstrate a well-developed ability to act independently to present a clear and coherent exposition of the relevant knowledge that evidences legal research, legal reasoning and professional judgment to legal issues relating to the law of commercial associations; and
5. understand the application of data protection and privacy regulations when collecting, generating, storing, accessing, using or sharing data and information.
