| Unit Description |
This unit examines the legal principles applicable to companies and other main forms of business associations. The topics include an analysis of partnership law, agency law, corporate personality, company incorporation and its consequences, the company's constitution, the financing of companies, corporate governance rules in the management of companies, duties and liabilities of directors and officers, meetings and resolutions, the principle of majority rule and the remedies of minority This unit consists of a study of the legal principles applicable to companies and other main forms of business associations in Australia. The principal focus of the unit is, however, on the analysis of relevant provisions of the Corporations Act 2001 (Cth) and the study of relevant case law. Topics include analysis of partnership law, agency law, corporate personality, company incorporation and its consequences, the company's constitution, the financing of companies, management of companies, duties and liabilities of directors and officers, the principle of majority rule and the remedies of minority members, takeovers and the winding up of companies. |
