Unit Description

This unit examines the legal principles applicable to companies and other main forms of business associations. The topics include an analysis of partnership law, agency law, corporate personality, company incorporation and its consequences, the company's constitution, the financing of companies, corporate governance rules in the management of companies, duties and liabilities of directors and officers, meetings and resolutions, the principle of majority rule and the remedies of minority members, accounts and audit requirements, companies in distress, takeovers and the winding up of companies.
